Up For Sits

1. Acceptance of Terms

By creating an account or otherwise using Up For Sits (“we,” “us,” “the Site”), you acknowledge that you have read, understood, and agree to these Terms & Conditions (the “Terms”). If you do not accept these Terms, do not use the Site.

We reserve the right to update these Terms at any time by posting changes on the Site. Your continued use of the Site after changes are posted constitutes acceptance.

2. Eligibility

1. Parent Users: Parents must provide their name and a valid phone number to register.
2. Sitter Users: Sitters must be at least 13 years old, register using the invite code provided by a Parent, verify their age, and agree to these Terms.
3. Accuracy of Information: All users agree to provide accurate, current, and complete information. Up For Sits is not liable for any damages arising from inaccurate or incomplete information provided by users.

3. Account Responsibilities

1. Account Security: You are responsible for maintaining the confidentiality of your login credentials. Promptly notify us at support@upforsits.com if you suspect any unauthorized use.
2. One Account per User: You agree not to create multiple accounts or register on behalf of another person without authorization.

4. Nature of Services

1. Platform Only: Up For Sits only facilitates connections between Parents and Sitters. We do not employ, recommend, endorse, or guarantee a Sitter’s qualifications or conduct.
2. No Employment Relationship: No agency, partnership, or employment relationship is formed between Up For Sits and any user. All agreements, including compensation, are strictly between Parents and Sitters.

5. Invitations and Communication

1. Invitations: Parents can invite Sitters, who then receive an invite code to register.
2. Consent to Communication:
   • By using the Site, you authorize Up For Sits to send text messages (SMS) and other notifications on your behalf to facilitate babysitting arrangements.
   • These automated messages include gig postings, acceptance confirmations, and updates.
   • Users cannot customize the content of these messages; the system controls the text and timing.
   • Standard carrier and data rates may apply.
3. Opt-Out: If you wish to stop receiving certain communications, contact support@upforsits.com. However, opting out may limit your ability to fully utilize the Site.

6. Posting and Accepting Gigs

1. Posting Gigs: Parents may post babysitting gigs, which are visible to invited Sitters.
2. Accepting Gigs: Sitters may accept or decline any gig. Up For Sits notifies the Parent when a Sitter accepts.
3. No Guarantee: We do not guarantee any gig will be filled or that arrangements will meet the Parent’s expectations.

7. User Conduct

1. Compliance with Laws: Users must comply with all applicable federal, state, and local laws, including relevant child labor laws.
2. Respectful Communication: Do not post or transmit unlawful, defamatory, harassing, or harmful content.
3. No Illegal or Fraudulent Activity: You will not use the Site to commit fraud or engage in harmful conduct.

8. Payments and Taxes

1. Direct Arrangements: All compensation terms are agreed upon directly between Parents and Sitters. Up For Sits is not responsible for processing or guaranteeing payments.
2. Tax Obligations: Each user is responsible for fulfilling their own tax obligations related to any income earned through babysitting gigs.

9. Intellectual Property

All content, trademarks, logos, and software on the Site belong to Up For Sits or are licensed to us. We grant you a limited, non-exclusive, and revocable license to use the Site for personal, non-commercial use, subject to these Terms.

10. Disclaimers

1. As-Is Basis: We provide the Site “as is” and “as available.” We disclaim all warranties, express or implied.
2. No Guarantee of Results: We do not guarantee that any babysitting arrangement will be successful, safe, or meet specific standards.
3. Service Interruptions: We do not warrant that the Site will be uninterrupted, secure, or error-free.

11. Limitation of Liability

1. No Liability for User Actions: Up For Sits is not liable for the actions or inactions of any user, including disputes, injuries, or losses that result from interactions between Parents and Sitters.
2. Extent of Liability: To the fullest extent allowed by law, Up For Sits and its affiliates are not liable for direct, indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Site.
3. Jurisdictional Limits: Some jurisdictions do not allow certain limitations of liability. In such cases, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Up For Sits and its officers, employees, or affiliates from any claims, damages, liabilities, or expenses (including reasonable attorneys’ fees) arising from:

• Your breach of these Terms
• Your use or misuse of the Site
• Your interaction or dispute with any other user

13. Account Suspension or Termination

1. Right to Terminate: We reserve the right to suspend or terminate accounts at our discretion if users violate these Terms or engage in unlawful activity.
2. Effect of Termination: Upon termination, your license to use the Site ends immediately. Provisions intended to survive termination shall remain in effect.

14. Dispute Resolution and Governing Law

1. Governing Law: These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles.
2. Venue: You consent to the exclusive jurisdiction of the state or federal courts located in Utah County, Utah, for any disputes arising from these Terms.
3. Injunctive Relief: In the event of a breach or threatened breach, we may seek injunctive or equitable relief to prevent irreparable harm.

15. Changes to Terms

We may revise these Terms at any time by posting updated terms on the Site. Your continued use of the Site after changes are posted constitutes acceptance of those changes.
